Terms of Service (Terms & Conditions)

Welcome to WatchTower (the "Service"), provided through the cosphi.cc website by Data Matrix Technology Limited (數據矩陣科技有限公司, operating under the brand "CosPhi") ("we", "us", "our"), a company incorporated in Hong Kong with its registered office at Flat A516, 5/F, Efficiency House, 35 Tai Yau Street, San Po Kong, Kowloon, Hong Kong. By registering for, purchasing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"). If you do not agree to any part of these Terms, please do not use the Service.

1. Description of the Service

WatchTower is a distributed cloud probing and monitoring platform that performs scheduled active checks on the websites, APIs, DNS, network paths, TLS certificates, file downloads and database dependencies you designate, from multiple geographic locations, and provides quality metrics, dashboards, reports and alerting.

We reserve the right to add, modify, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes by email or website announcement.

2. Accounts

• You must provide true, accurate and complete registration information and keep it up to date.
• You are responsible for safeguarding your account credentials. All activity under your account is your responsibility.
• Notify us immediately of any unauthorized use of your account at [email protected].

3. Acceptable Use

You agree to configure probe tasks only against targets (websites, APIs, servers, domains, databases, etc.) that you own, operate, or are expressly authorized to test. You must not use the Service to:

• probe, scan, or place load on third-party systems without authorization;
• conduct any form of denial-of-service attack (DoS/DDoS), abusive load testing, or other malicious activity;
• violate any applicable law, regulation, or third-party right;
• resell, rent, or otherwise provide the Service to third parties without our written consent.

If we reasonably determine that you have violated this section, we may suspend or terminate your account without refund, and you bear all resulting legal liability.

4. Fees and Payment

• Subscription plans are billed monthly in advance at the start of each billing cycle. Except as provided in these Terms or the Refund Policy, fees already charged are not refunded pro rata.
• Pay as you go: you purchase prepaid probe credits which are deducted based on the number of checks actually executed. Credits do not expire.
• Payments are processed by third-party payment providers; we do not store your full payment card details.
• Unless otherwise stated, all prices are in US dollars (USD) and exclusive of any applicable taxes.
• We may adjust prices. Price changes take effect for existing subscriptions from the next billing cycle, with prior notice.

5. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

6. Intellectual Property

All intellectual property rights in the Service (including without limitation software, interfaces, documentation, trademarks and logos) belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. Monitoring data generated through your use of the Service belongs to you; you grant us the right to process such data for the purpose of providing and improving the Service.

7. Service Levels and Disclaimer

We strive to keep the Service stable and available, but the Service is provided on an "as is" and "as available" basis, without express or implied warranties of uninterrupted operation, error-free performance, or fitness for a particular purpose. Probe results are affected by public network conditions and are for reference only; they do not constitute any form of guarantee or certification unless otherwise agreed in writing.

8. Limitation of Liability

To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential or punitive damages (including loss of profits, loss of data, or business interruption). Our total aggregate liability for any claim is limited to the fees you actually paid to us in the twelve (12) months preceding the claim.

9. Termination

• You may stop using the Service and cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle.
• We may suspend or terminate your access if you breach these Terms.
• Upon termination, your data will be handled in accordance with our Privacy Policy. Export any data you need before termination.

10. Changes to These Terms

We may revise these Terms from time to time. Revised Terms will be posted on this page, and material changes will be separately notified. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. The parties shall first attempt to resolve any dispute in good faith; failing that, disputes shall be submitted to the courts of competent jurisdiction in Hong Kong.
